SYNERGY ENTERPRISES, LLC ACQUIRES DOMAIN HOME FROM AGA FOODSERVICE GROUP IN TRANSATLANTIC DIVISIONAL BUYOUT

Norwood, MA – June 21, 2007 – Synergy Enterprises, LLC (“Synergy”), a NJ-based private investment and management advisory services firm, today announced it has acquired Domain Home, a leading US retailer of upscale home furnishings, from its parent company, Aga Foodservice Group (“Aga”), a UK-based worldwide producer of premium range cookers and refrigerators, in a divisional buyout.

Under the terms of the transaction, Aga will retain a 15% equity interest in Domain Home.  Following the completion of the transaction, Domain Home’s Founder and Chief Executive Officer, Judy George, will remain in her current position and continue to lead the company on a stand-alone basis, and has also become a significant shareholder in the company.

Founded in 1985 by CEO Judy George and acquired by Aga in 2002, Domain Home targets middle and upper middle income customers with upscale product offerings across the classic and contemporary style spectrum, as well as in-store design customization options.  The company has a footprint of 27 stores located across seven states in the Northeast and Mid-Atlantic regions of the United States, including suburbs of major metropolitan markets such as Boston, New York, Philadelphia and Washington DC.  Domain Home’s average store size is approximately 7,200 square feet, and the company also maintains a centralized warehouse and distribution facility in Edison, NJ, that has been recently upgraded with state-of-the-art point-of-sale and information technology platforms.

Also as part of the transaction, Domain Home will retain the right to sell Aga kitchen and cooking products in its stores, and will continue to market these products through customer traffic-enhancing events such as in-store cooking demonstrations and other related events.

Gary A. Nacht, Chairman and CEO of Synergy, said, “We are excited to move forward in close partnership with Judy George and her team, who have built an outstanding lifestyle brand associated with world class service and design customization, and powerful name recognition that rivals brands such as Ethan Allen, Crate & Barrel, Williams Sonoma and Restoration Hardware in the Northeastern United States.  Domain Home is a dynamic business with first class store locations and a very loyal clientele, and we are enthusiastic about the company’s tremendous growth potential with more focused and dedicated support.  The specialty upscale furniture retailing market is highly fragmented, giving Domain Home opportunities to expand within its current markets as well as into new markets across the US and internationally.  We look forward to providing Judy and her management team with the strategic, financial and operational resources necessary to realize Domain Home’s full potential.”

Judy George, Founder and CEO of Domain Home, said, “This partnership with Synergy represents an excellent opportunity for us to refocus on our core business and our mission of becoming the retail destination of choice for discriminating consumers who appreciate a designer touch.  As we have already seen, the upscale home furnishings category continues to be a niche market with enormous potential, and we have a range of initiatives under way to further capture our share of this market, as well as expand into new markets we are not currently serving.  From updating our product mixes and styles to better fit evolving customer needs, to providing product and service offerings that refocus our business on our core value-added customers, to making custom choices even more accessible across all of our locations, we are committed to offering a superior shopping experience that is second to none.  I am excited with our strategy and our new partners at Synergy, who bring tremendous expertise in the retail markets, and I look forward to all we can achieve together.”
